Terms of Service

2. Description of Service

LuckyWheel is a SaaS platform that lets Organizers design and run lucky-draw campaigns for their own audiences, including:

• Digital lucky draws: online and in-store draws with multiple styles (standard, multi-row, staged sequential, globe spin).
• Campaign management: a dashboard for participants, prizes, and real-time results, plus an audit log of every draw.
• Data collection: registration forms, code-based check-in, OTP verification.
• Integrations: API, webhooks, and embedding into your own website or landing page.
• White-label: custom branding and domain.

We may add, modify, or remove features at any time, with reasonable notice when a change materially reduces functionality active subscribers rely on.

3. Accounts & Security

Registration

• You must be at least 18 years old to register. Accounts are organized as Workspaces — a shared space for a team or a single Organizer.
• Registration information must be accurate, complete, and kept up to date.

Account Security

• You are responsible for keeping your password confidential and for all activity under your account.
• Notify us immediately at code4change.co@gmail.com if you detect unauthorized access.
• LuckyWheel is not liable for damage resulting from your failure to secure your login credentials.

5. Acceptable Use & Draw Integrity

When using LuckyWheel, you agree not to:

• Manipulate, reverse-engineer, or circumvent the draw algorithm to predetermine or influence outcomes.
• Change a winner or a prize after a draw without a documented, auditable reason.
• Run campaigns that are illegal, fraudulent, or harmful to participants.
• Distribute content that infringes copyright, trademark, or other third-party IP rights.
• Use bots or automated scripts to generate entries, manipulate outcomes, or inflate participation numbers.
• Deliberately overload the system, attack it, or probe for security vulnerabilities.
• Resell, rent, or transfer account access to a third party.

LuckyWheel may suspend or terminate a violating account without prior notice in serious cases, since such conduct directly undermines participants' trust in a draw's outcome.

6. Organizer Responsibilities & Promotional-Program Compliance

LuckyWheel is software only — it does not organize, sponsor, or endorse any campaign run on it. As an Organizer, you bear full responsibility for the campaigns you create, including:

• Regulatory compliance: public prize promotions in Vietnam may require registration or notification with the local Department of Industry and Trade (Sở Công Thương) under applicable trade-promotion regulations, depending on prize value and program type. You are responsible for determining whether your campaign requires registration and for completing it before launch.
• Prize accuracy & fulfillment: accurately describe and honor all announced prizes. LuckyWheel is not responsible for prize delivery, quality, or disputes between you and participants.
• Participant consent: obtain all consents required to collect and process participant data for your campaign.

8. AI Assistant Feature

Certain plans include an AI-powered assistant that answers questions and suggests actions using data from your own workspace. Outputs are generated by a third-party language model and are for convenience only — they are not guaranteed to be accurate or suitable for any particular decision, and you remain responsible for verifying and approving any action taken based on them. Your workspace data is not used to train models shared across other customers.

9. Intellectual Property

Our Rights

The LuckyWheel platform, including all source code, design, algorithms, logo, and trademarks, is the exclusive intellectual property of Công ty TNHH Code4Change. You may not copy, distribute, create derivative works from, or commercially exploit any part of it without our written consent.

Your Rights

Campaign data, brand information, and content you create on LuckyWheel remain your property. You grant us a limited license to use it to operate the Service and improve the product.

Feedback

Any feedback or feature suggestions you send us may be used without any obligation of compensation.

11. Service Level Commitment (SLA)

We commit to maintaining service quality according to the following criteria:

• Uptime: 99.5% monthly uptime for paid tiers. The free tier is not covered by an SLA.
• Scheduled maintenance: at least 48 hours' notice, prioritized outside peak hours.
• Incident support: response within 15 minutes for critical (P1) incidents during business hours.

The SLA does not apply to force majeure events, third-party network failures, or breaches of these Terms by the customer.

12. Limitation of Liability

To the maximum extent permitted by law:

• LuckyWheel provides the Service "as is" and does not warrant fitness for any particular purpose.
• Our total liability for any claim shall not exceed the amount you paid in the preceding 12 months.
• We are not liable for indirect damages, lost revenue, lost business opportunity, or reputational harm.
• This limitation does not apply to liability for gross negligence, willful misconduct, or a confirmed data breach caused by our failure to implement the agreed security measures.

14. Dispute Resolution

Any dispute arising from or related to these Terms will be resolved in the following order:

1. Direct negotiation: the parties will attempt to resolve the dispute within 30 days.
2. Mediation: through a mediator agreed upon by both parties if negotiation fails.
3. Courts: the competent People's Court in Ho Chi Minh City, Vietnam.

These Terms are governed by the laws of Vietnam.

15. Changes to Terms

We may update these Terms as needed. Material changes will be notified by email at least 30 days in advance, along with an updated "Effective date" on this page.

Continuing to use the Service after the effective date constitutes acceptance of the new Terms.
